These API Terms of Use (“Terms”) is a legal agreement between you and Public Spaces Technologies Limited (“we” or “us”) regarding your use of our application programming interface(s) (the “APIs”) and any associated documentation, software or data (together, the “API Materials“).

By using the APIs, you agree to be bound by these Terms. If you are agreeing to these Terms on behalf of a company, organization, or entity (“Organization”), then you represent and warrant that you have the authority to bind that Organization to these Terms and “you”, “your”, and “our Partner” will refer to that Organization.

1. License

Subject to these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable license to use the APIs solely to develop software applications (“API Client”) that: (a) access the APIs; and (b) are used by you as our Partner that does not directly compete with our business commercially or in respect of certain features.

2. Restrictions

You may not:

  • Use the APIs for any use or purpose other than as expressly permitted by these Terms.
  • Use the APIs to scrape, monitor, or copy any content or information provided on or through the APIs by any means.
  • Sell, lease, loan, distribute, transfer, or sublicense the API Materials or access thereto or derive revenue from them in any other way.
  • Use the APIs in any manner or for any purpose that violates any law or regulation, or any right of any person, or in a manner that, in our sole discretion, is objectionable or restricts or inhibits any other person from using or enjoying the APIs, or which may expose us, our affiliates, or our users to harm or liability of any nature.
  • Use the APIs in connection with any product or service that competes with our business, or in a manner that is intended to or does interfere with our business or operations.
  • Use the API to display more than 200 events per domain, for any given period, across all tokens used on that domain, unless they have express permission from us.
  • Use the API to provide notifications to update end-users about new events, specifically by email, device, web browser, or in other applications.
  • Use the API for event listings not displayed publicly, in other words the API cannot be used to provide event information to private groups or personalized feeds.
  • Use the API to implement a commercial model that directly competes with that of Public Spaces Technologies Ltd including ticketing or membership or patronage management, whereby event patrons pay event organizers or promoters through the partner website and the partner website takes a percentage fee. The websites of our Partner may still sell tickets or memberships for events that they organize directly without the tokens being revoked.

3. API Usage Limitations

The API uses a token system that grants the Partner access to our data server. Tokens requested from our system are associated with a specific domain and must be used on that domain only. We reserve the right to revoke these tokens at any time without notice.

You agree not to use the APIs in a manner that exceeds reasonable request volume, constitutes excessive or abusive usage, or otherwise fails to comply or is inconsistent with any part of these Terms or any other instructions we provide to you. In particular, you agree not to engage in any action or practice that interferes with or disrupts the operation of the APIs or the platforms or services accessed through the APIs.

4. Attribution & Styling

You must display a “Powered by Plug.events” attribution on your API Client that displays the data obtained through the API, and you may not remove, obscure, or alter this attribution in any way.

You must display our logo and product name as it is returned by the API on your website. Our Partner must also retain the links to the associated events on our website, which is on the domain www.plug.events.

Our Partner may style the data as they wish, to match their own website.

5. Confidentiality

You agree to keep confidential all information and materials provided by us that is not intended to be made public, and not to use such information or materials for any purpose other than in connection with your use of the APIs. This obligation will survive the termination or expiration of these Terms.

6. Termination

We may terminate or suspend your access to the APIs and API Materials without notice or liability if we determine, in our sole discretion, that you have violated these Terms or any other agreement or requirement that we may impose on you in connection with your use of the APIs.

7. Disclaimer

THE API MATERIALS ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, AND WE HEREBY DISCLAIM ANY AND ALL SUCH WARRANTIES, EXPRESS OR IMPLIED.

8. Limitation of Liability

WE WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE API MATERIALS, WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Revisions

We may revise these Terms at any time, and you agree to be bound by such revisions. Any changes will be posted here, and your continued use of the APIs after such changes have been posted will constitute your acceptance of the changes.

10. Governing Law

These Terms and your use of the APIs will be governed by and construed in accordance with the laws of Ireland, without giving effect to any principles of conflicts of law. The United Nations Convention on Contracts for the International Sale of Goods will not apply to these Terms.
